These Terms of Service apply to all quotes, projects, and deliverables provided by COZENTA MARKET LLC. By submitting a brief or approving a quote, you agree to these terms.
Services
COZENTA provides sound effects, Foley, field recording, sound design, music and session recording, audio post-production, voice recording, and sound library production. Rates published on this website are starting ranges per sound, per minute of video, per location, or per part. They are not a binding offer.
Quotes and scope
Every project starts with a written quote that sets out the deliverables, units, technical specification, revision allowance, timeline, and price. Work outside the approved quote — including new cues, extended running time, picture changes after lock, or additional revision rounds — is billed by written change order.
Payment
Work begins after you approve the quote and pay the agreed deposit. The remaining balance is due on delivery of final files unless the quote states otherwise. Final masters and stems may be withheld until payment is complete. Third-party costs such as location permits, access fees, travel, or specialty session players are listed in the quote and billed at cost.
Your materials
You confirm that you own or are authorized to use all picture, audio, scores, and references you provide, and that our use of them for your project does not infringe the rights of others. You are responsible for licensing or clearing any third-party music or samples that are not created by COZENTA.
Rights and licensing
After full payment, you receive a perpetual, worldwide, non-exclusive license to use the custom audio created for your project in that project and its promotion. Exclusive rights or a full buyout can be arranged in the written quote. COZENTA keeps ownership of its source recordings, session files, and pre-existing library material, and will not resell audio created specifically for your project without your consent. Library sounds licensed separately are governed by the license terms provided with them.
Delivery and revisions
Files are delivered digitally in the format agreed in the quote, by default WAV 48 kHz / 24-bit. Each deliverable includes one revision round unless the quote states otherwise. Revision requests should be sent within 14 days of delivery; after that, the deliverable is considered accepted.
Scheduling
Timelines depend on timely delivery of picture, notes, and approvals. Delays on the client side may shift delivery dates. Field recording dates may be rescheduled for weather, access, or safety reasons.
Limitation of liability
To the extent permitted by law, COZENTA’s total liability for any claim related to a project is limited to the amount paid for that project. We are not liable for indirect or consequential losses, including lost revenue or missed release dates.
Governing law
These terms are governed by the laws of the State of Missouri, United States. Disputes will be handled in the courts of St. Louis County, Missouri.
